Utso Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Utso platform, including the websites utso.net and utso.app, and all associated applications and services (collectively, the “Service”). The Service is developed and operated by InfoDigita Technologies (“Utso”, “we”, “us”, or “our”). By creating an account, accessing, or using the Service, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

If you do not agree to these Terms, do not access or use the Service.


1. Description of Service

Utso is a business management platform providing Human Resource Management (HRM), Customer Relationship Management (CRM), Payroll processing, project and task management, time and attendance tracking (including biometric device integration), and business analytics, delivered as Software-as-a-Service (SaaS). Each customer company (“Tenant”) is provisioned with logically or physically isolated data storage, and Tenant data is not shared with other Tenants except as required to operate shared parts of the Service, such as notification delivery.

We may add, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify Customers of material changes that reduce core functionality.

2. Accounts and Registration

  • You must provide accurate, current, and complete information when registering a company (Tenant) or user account.
  • Each Tenant designates one or more administrator accounts responsible for managing that Tenant’s users, permissions, and data.
  • You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. Notify us immediately at hello@utso.net of any unauthorized use.
  • You must be legally able to enter into a binding contract to create an account. The Service is intended for business use, not for individual consumers.

3. Tenant Data Ownership and Responsibilities

  • As between Utso and the Customer, the Customer retains all ownership rights to the data it or its authorized users submit to the Service (“Tenant Data”), including employee records, payroll data, CRM data, project/task content, and attendance data.
  • The Customer is solely responsible for:
    • The lawfulness of Tenant Data it uploads (including obtaining any consents required from its own employees or customers before entering their personal data into the Service);
    • The accuracy of payroll, attendance, and HR data used to calculate salaries, leave, or statutory obligations;
    • Compliance with applicable labour, tax, and data protection laws in the jurisdictions where its employees or customers are located.
  • Utso acts as a data processor/service provider with respect to Tenant Data and processes it only to provide, maintain, and support the Service, as instructed by the Customer, or as required by law.

4. Subscription Plans, Billing, and Payment

  • Access to the Service is provided on a subscription basis, in the pricing tiers published at utso.net/pricing, billed in Bangladeshi Taka (BDT) unless otherwise agreed in writing.
  • Accepted payment methods are published at checkout and may be updated from time to time.
  • Access to Core HR includes a 2-month free trial; after the trial, the Service is billed monthly in arrears based on actual usage (active employees on Core HR, plus any enabled add-ons metered on their own usage), in the pricing published at utso.net/pricing. Charges are eligible for refund only as described in our Refund Policy (utso.net/refund-policy).
  • We may suspend or restrict access to the Service for accounts with overdue payment, following reasonable notice.
  • Fees are exclusive of applicable taxes (e.g., VAT), which the Customer is responsible for unless we are legally required to collect them.
  • We may change subscription pricing with at least 30 days’ notice before the change applies to a then-current subscription term.

5. Acceptable Use

You agree not to, and not to permit any user of your Tenant to:

  • Use the Service to violate any applicable law, including labour law, tax law, or data protection law;
  • Upload or process data you do not have the right to process (including biometric or National ID data of individuals without appropriate consent or legal basis);
  • Attempt to gain unauthorized access to another Tenant’s data, to the Service’s infrastructure, or to circumvent Tenant data isolation;
  • Reverse-engineer, decompile, or attempt to extract source code from the Service, except to the extent such restriction is prohibited by law;
  • Use the Service to transmit malware, conduct security attacks (including denial-of-service attacks), or otherwise interfere with the Service’s operation or other Tenants’ use of it;
  • Resell, sublicense, or provide the Service to third parties as a standalone service without our written consent, except where a subscription tier expressly permits building integrations for your own business use.

We may suspend access immediately, without prior notice, for a violation of this section that poses a security or legal risk, and will notify you as soon as reasonably possible.

6. Biometric Devices and Third-Party Integrations

Where the Service integrates with third-party biometric attendance devices, payment gateways, cloud storage providers, or other third-party systems, such integrations are provided for Customer convenience. Utso is not responsible for the availability, security practices, or performance of third-party systems the Customer chooses to connect. The Customer remains responsible for obtaining any consents required to collect biometric identifiers (e.g., fingerprint templates) from its employees before enabling biometric attendance features.

7. Intellectual Property

  • The Service, including its software, design, trademarks (“Utso” and associated logos), and documentation, is owned by InfoDigita Technologies or its licensors. These Terms grant no ownership rights in the Service to the Customer.
  • Subject to these Terms and a valid subscription, we grant the Customer a limited, non-exclusive, non-transferable right to access and use the Service for its internal business operations during the subscription term.
  • Feedback voluntarily submitted about the Service may be used by us without restriction or compensation.

8. Confidentiality

Each party will protect the other’s confidential information (including Tenant Data, pricing terms, and non-public technical information) with at least the same degree of care it uses for its own confidential information of similar nature, and will not disclose it to third parties except as necessary to provide or receive the Service, or as required by law.

9. Service Availability and Support

We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where practicable. 10. Term, Suspension, and Termination

  • These Terms remain in effect for as long as you maintain an active subscription or account.
  • Either party may terminate a subscription in accordance with the notice period stated in the applicable pricing plan, or immediately if the other party materially breaches these Terms and fails to cure the breach within 14 days of written notice.
  • Upon termination, your right to access the Service ends. We will retain Tenant Data for a reasonable period (up to 30 days, unless otherwise agreed) to allow export, after which it may be deleted from production systems, subject to residual copies in backups that are purged in the ordinary course per our backup retention schedule.
  • Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN THESE TERMS. WE DO NOT WARRANT THAT PAYROLL, TAX, OR STATUTORY CALCULATIONS PRODUCED BY THE SERVICE WILL SATISFY EVERY LEGAL REQUIREMENT APPLICABLE TO THE CUSTOMER’S BUSINESS; THE CUSTOMER REMAINS RESPONSIBLE FOR VERIFYING STATUTORY COMPLIANCE.

12. Limitation of Liability

To the maximum extent permitted by applicable law, InfoDigita Technologies’ total liability arising out of or related to the Service will not exceed the fees paid by the Customer in the 12 months preceding the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., liability for fraud or gross negligence, where applicable).

13. Indemnification

The Customer agrees to indemnify and hold harmless InfoDigita Technologies from claims arising out of: (a) Tenant Data uploaded without proper legal basis or consent; (b) the Customer’s violation of applicable law; or (c) the Customer’s breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of Bangladesh, without regard to conflict-of-law principles. Disputes arising out of these Terms will first be addressed through good-faith negotiation between the parties; if unresolved within 30 days, either party may pursue resolution before the courts of competent jurisdiction in Bangladesh.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-product notice at least 15 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
